Terms of Use

These Terms of Use ("Terms") govern your access to and use of bonitapayments.net (the "Site"), operated by Bonita Payments LLC ("Bonita," "we," "us," "our"). By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you use the Site on behalf of a business, you represent that you are authorized to bind that business.

The Site provides general information about Bonita's merchant services, QuarterSuite, pricing concepts, and educational content. Nothing on the Site is an offer, commitment, or guarantee of pricing, approval, funding, residuals, or any product or service. A merchant or partner relationship is established only through a separate executed written agreement, where applicable approved by our sponsor bank and processor. If the Site conflicts with your executed agreement, the executed agreement controls.

Calculators, rate estimators, savings and funding examples, approval-timeline references, and descriptions of current and planned products (including QuarterSuite modules at stages such as "Live Now," "Internal MVP," "In Development," "Roadmap," and "Strategic Concept") are illustrative only, are not guarantees, and are subject to underwriting, processor rules, sponsor bank requirements, card network rules, and executed agreement terms. Product statuses and roadmaps may change without notice.

The Site is intended for businesses and business representatives at least 18 years old, located in the United States.

You agree not to use the Site unlawfully; submit false or fraudulent information; interfere with or disrupt the Site or its security; attempt unauthorized access; scrape or harvest data by automated means without written permission; introduce malware; or infringe others' rights. We may suspend or terminate access for violations.

Information you submit must be accurate and authorized. You are responsible for the confidentiality of credentials and application materials. We may verify submissions and may decline to act on any submission at our discretion.

The Site and its content — including the "Bonita Payments" and "QuarterSuite" names and marks and module names (QuarterMaster, QuarterCapital, QuarterDeck, QuarterSupply, QuarterPointe, Quarter Key), text, graphics, logos, software, and design — are owned by Bonita or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Site for internal business and informational purposes. You may not copy, modify, distribute, sell, license, or create derivative works without our written consent. All rights not expressly granted are reserved.

Third-party names, marks, and logos are the property of their owners and used for identification only, without implying endorsement. The Site may link to third-party sites we do not control and are not responsible for.

THE SITE AND ALL CONTENT, TOOLS, AND ESTIMATES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ESTIMATE OR STATEMENT IS ACCURATE OR APPLICABLE TO YOU. YOU USE THE SITE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONITA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE. BONITA'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED [AMOUNT]. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless Bonita and its officers, members, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, violation of these Terms, or violation of any law or third-party rights.

We may modify, suspend, or discontinue any part of the Site, and may update these Terms; the "Last updated" date reflects changes, and continued use constitutes acceptance.

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-laws rules. Exclusive venue for disputes is the state or federal courts in Orleans Parish, Louisiana, and you consent to their jurisdiction.

If any provision is unenforceable, the rest remain in effect. Our failure to enforce is not a waiver. These Terms with the Privacy Policy are the entire agreement regarding the Site. You may not assign these Terms without our consent; we may assign freely.
